This is an English translation for convenience. The German version is legally binding.

1. Scope and provider

These terms apply to the use of Content Brainy (the “App”), offered by HALE Technologies, owner Dwayne Henneberg (contact and address: see the Legal Notice). By registering and by taking out a subscription you accept these terms.

2. Description of the service

Content Brainy is a tool for planning and optimizing social media content. Among other things it lets you manage content ideas across production stages, connect your own TikTok, Instagram (Meta) and YouTube (Google) accounts to see your own statistics and comments, rank your own posts by performance, and use AI-assisted features (“Brainy”, including Brainy Power).

Planner, Published, Comments and AI features require an active paid subscription or an active trial. Settings, these terms and the Legal Notice stay available without a subscription.

3. Registration, onboarding and account

An account is required (sign-in with Google or Apple via Clerk). You are responsible for keeping your credentials secret and for activity under your account. You must meet the minimum age required by applicable law.

After registering, an onboarding form is mandatory (among other things niche, platforms, approximate reach, goal and timeframe, approximate social media income, how you heard about Content Brainy). The App cannot be used without completing onboarding. We store the answers as your creator profile and may use them later for AI features. You can change them in the settings. Details on data processing are in the Privacy Policy.

4. Platform connections

You can optionally connect your own TikTok, Instagram (Meta) and/or YouTube (Google) accounts. We only access your own data that you shared — within the respective OAuth permissions. The connections are separate from the Clerk sign-in (even if you sign in to Content Brainy with Google, the YouTube connection is its own step).

You are responsible for making sure your use of each platform and of the retrieved data complies with the policies and terms of TikTok, Meta/Instagram and Google/YouTube. Instagram requires a business or creator account. You can disconnect any connection at any time in Content Brainy (Connected Socials). When you disconnect TikTok, Content Brainy also revokes the TikTok authorization. When you disconnect YouTube, Content Brainy removes the data imported from it and asks Google to revoke the authorization; content on YouTube itself is not deleted. You can also revoke authorizations at any time in the settings of the respective platform.

5. AI-generated content and Brainy AI Credits

Recommendations, texts, classifications and analyses by “Brainy” are generated automatically and may be wrong, incomplete or unsuitable. They are non-binding suggestions. We give no guarantee that content created with them achieves any particular reach or performance. You review content yourself before publishing it.

AI features use Brainy AI Credits: the AI allowance included in each billing cycle. One Credit is an internal accounting unit with a face value of USD 1. Content Brainy Basic includes USD 29, Content Brainy Pro USD 200 in Credits per billing cycle. Credits are not a means of payment and not a balance that can be paid out, transferred or topped up; they do not correspond to the prices of individual AI providers and do not entitle you to a specific number of AI requests. Usage depends on the size of each request and is shown in the settings as remaining Credits and as a rounded percentage (“Brainy Power”). Unused Credits expire at the end of the billing cycle. Below 0.5 % remaining, no further AI requests are run. In the settings you can turn off each AI feature individually; Planner, Published, Comments and platform sync stay usable and use no Credits. An upgrade to the next plan raises the allowance; Credits already used in the current cycle still count. We may change the included Credits and the usage per request for future billing cycles; the change applies from the next cycle and we inform you in the App beforehand.

6. Permitted use

You agree not to misuse the App, in particular:

  • not to create unlawful or infringing content;
  • not to circumvent security measures or put excessive load on the infrastructure;
  • not to connect or use other people’s accounts without permission.

7. Availability

We aim for high availability. Maintenance, changes and outages are possible. Availability and data of the connected platforms also depend on TikTok, Meta and Google.

8. Prices and subscriptions

The App is offered as a subscription. Current plans and prices are on the pricing page. As of these terms:

  • Content Brainy Basic — USD 29 per month
  • Content Brainy Pro — USD 99 per month

Billing is monthly in advance in US dollars (USD) through our payment provider (Clerk Billing / Stripe). Clerk Billing currently does not support billing in euros. This version has no annual plan. A second plan or a price change may be made via the pricing page; the price shown there and at checkout applies. Discounts or free access for individual accounts (e.g. a custom price) remain the same plan relationship.

9. Trial

The Content Brainy Basic plan can start with a 7-day trial. A stored payment method is required. USD 0 is charged during the seven days. Unless you cancel beforehand in the settings, USD 29 per month is charged automatically afterwards. Content Brainy Pro has no trial of its own; an upgrade is charged according to the payment provider’s rules.

10. Term, renewal and cancellation

The subscription runs for an indefinite period and renews by one month each time until you cancel it. Cancellation and plan changes are done in the settings or via the pricing page. A cancellation takes effect at the end of the billing cycle already paid, unless the payment provider states otherwise. An upgrade during a cycle applies from when the new plan takes effect.

11. Late payment

If a payment is due and fails (past due), Planner, Published, Comments and AI are locked until the payment succeeds again. Settings stay available so you can update your payment method.

12. Right of withdrawal for consumers

Consumers within the meaning of § 13 BGB (German Civil Code) have a statutory right of withdrawal. The withdrawal period is 14 days from the conclusion of the contract.

Withdrawal instructions. You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day the contract is concluded. To exercise your right of withdrawal, you must inform us (HALE Technologies, owner Dwayne Henneberg, Bergaustraße 60, 12437 Berlin, team@contentbrainy.app) of your decision by a clear statement (e.g. email). Sending it in time is enough to meet the deadline.

Effects of withdrawal. We refund all payments received from you without undue delay and at the latest within fourteen days from the day we receive notice of the withdrawal.

Expiry for digital content. For a contract for the supply of digital content not on a physical medium, the right of withdrawal expires once we have begun performance after you expressly agreed that we may begin before the withdrawal period ends and confirmed your knowledge that you lose your right of withdrawal by agreeing (§ 356(5) BGB). By starting the trial or accessing the App you begin using digital content.

13. Liability

We are liable without limitation for intent and gross negligence and for injury to life, body or health. For simple negligence we are only liable for breach of a material contractual obligation, limited to the foreseeable damage typical for the contract. Otherwise liability is excluded.

14. Changes to these terms

We may change these terms with effect for the future. We inform you of material changes in an appropriate way. The version published here applies.

15. Governing law

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection rules of your country of residence remain unaffected.
